Sorigin Insurance Brokers-Terms & Conditions

We, Sorigin Insurance Brokers Private Limited having its registered office at AP81,B Wing,17 th Floor, Mundhwa, Pune , Maharashtra , India , 411036  (referred to as “Sorigin” or “We”, “Us” and “Our”), are a licensed insurance broker duly registered with the Insurance Regulatory and Development Authority of India (“IRDAI”).

We operate as an intermediary facilitating the purchase, renewal, and/or management of insurance products and services ancillary and incidental thereto, offered by various third-party insurance companies (collectively referred to as “Insurance Companies” and individually referred to as “Insurance Company”) in accordance with applicable regulatory guidelines. (“Services”).

We are the exclusive owner and operator of soriginxure.com (“Website”), through which We offer Users (as defined below) a convenient digital platform to access information with respect to the Services We offer.

These terms and conditions/ terms of use (“Terms & Conditions”) shall govern Your access and use of the Website. Any reference to “You”, “Your”, and “User” or “Customer” refers to You as the user of the Website.. By accessing and using the Website in any way, including, without limitation, browsing the Website, using any information or any content,  available therein, You agree to be bound by these Terms & Conditions. If You do not accept these Terms & Conditions in full, please cease using the Website immediately.

The information contained on the Website and these Terms & Conditions are subject to change and can be revised at any time at the sole discretion of Sorigin without any prior notice. You are bound by any such revisions, and therefore, We advise You to review the Terms & Conditions every time You use the Website and periodically to stay apprised of any and all changes. If You do not agree with any amendments made by Us to these Terms & Conditions at any time in the future, You must stop using the Website with immediate effect.

By accessing and using the Website and the features, functionalities, and content, You acknowledge and agree that You have read and understood the Terms & Conditions and shall not claim invalidity of the Terms & Conditions on any ground.

1. USING THE WEBSITE

Sorigin uses its Website as a platform to provide information about the Services it offers and by visiting/ accessing/ using the Website, You agree to be fully bound by these Terms & Conditions. You further agree to use the Website only for the purposes intended, as permitted by these Terms & Conditions, and/or applicable laws and regulations.

Subject to the compliance with all applicable laws and these Terms and Conditions, Sorigin grants the User a limited, non-exclusive, non-sub-licensable, non-transferable, revocable and limited permission to access and use the Website, subject to the following conditions:

• While using the Website, You may be required to provide certain information about yourself/ person/ property proposed to be insured, including, but not limited to, details such as name, address, contact details, etc. You agree and acknowledge that any information provided by You will always be accurate, correct, complete, and updated from time to time, as required.

• Accessing (or attempting to access) the Website, by any means other than through the permitted means is strictly prohibited. You specifically agree not to access (or attempt to access) the Website through any automated, unethical, or unconventional means.

• Engaging in any activity that disrupts or interferes with the Website, including the servers and/or networks to which the Website is connected or where the Website is located, is strictly prohibited.

• Attempting to copy or copying, duplicating, reproducing, selling, trading, or reselling of the Website is strictly prohibited.

• You shall not, with or without compensation, prepare any derivative works from, or sell, lease, license, e-mail, reproduce, duplicate, copy, resell, republish, transmit or distribute or otherwise exploit for any commercial purpose via any media, now known or unknown, any contents from this Website to any other entity or individual.

• You are solely responsible for any consequences, losses, penalties, or damages that We may directly or indirectly incur or suffer due to any unauthorized activities conducted by You, as explained above, and may incur criminal or civil liabilities.

Any unauthorized use terminates the permission granted by Sorigin under these Terms and Conditions to You. Further to this, Sorigin reserves its right, without assigning any reason, to restrict or limit Your access to the Website.

This right is in addition to any other remedy available to Sorigin, for access & usage of the Website, which is in contravention of any of the terms of these Terms and Conditions or any other applicable law.

2. USER CONDUCT

You may access and use the Website for lawful purposes and in relation to obtaining any information about the Services offered by Sorigin. The User of the Website is responsible for adhering to any and all laws, rules, and regulations that are applicable, regardless of any previous knowledge or lack of knowledge about such laws, rules, or regulations.

Sorigin is not responsible for the content of any information that is uploaded, posted or transmitted by You to the Website. Sorigin does not actively monitor or control the content that Users upload, post, or transmit through the Website or as part of availing the Services, and hence, cannot guarantee the accuracy, integrity, quality, or legality of any such User-submitted content.

Anyone who uses the Website , does so at their own risk. Sorigin shall not be liable, in any way, for the content shared by Users, or for any loss or damage that may be incurred as a result of accessing or relying on such content. The User of this Website agrees not to host, upload, display, publish, modify, store, update, transmit, or share any information that:

• belongs to another person and to which the User does not have any right;

• is defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;

• is harmful to a minor;

• infringes any patent, trademark, copyright or other proprietary rights;

• violates any law for the time being in force;

• deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact;

• impersonates another person;

• threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognizable offence, or prevents investigation of any offence, or is insulting another nation;

• contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;

• is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.

You shall use Your best effort to hinder and prevent piracy and hacking with respect to the Website at Your end. In the case of the occurrence of any piracy and hacking issues with respect to the Services and/or the Website, You shall inform Us immediately.

3. USER GENERATED CONTENT

We may provide various open communication tools on the Website, such as blog comments, posts, public chat, forums, message boards, newsgroups, reviews, various social media services, etc. You understand that We do not pre-screen content posted by Users over these various communication tools, which means that if You choose to use these tools to submit any type of content on the Website (“User Generated Content”), then it is Your personal responsibility to use these tools in a responsible and ethical manner.

When You share any feedback or post any comment (including User Generated Content) on the Website, it is deemed to be non-confidential. Sorigin is at liberty to use any such User Generated Content, and You represent that such User Generated Content does not contain confidential or proprietary information of You or of third parties and that Sorigin is not under any obligation of confidentiality, express or implied, with respect to such User Generated Content.

Further, You are not entitled to any compensation or reimbursement of any kind from Sorigin for the feedback provided by You, under any circumstances.

By posting information or otherwise using any open communication tools as mentioned, You agree that You will not upload, post, share, or otherwise distribute any content that:

• is illegal, threatening, defamatory, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or contains any type of suggestive, inappropriate, or explicit language;

• infringes on any trademark, patent, trade secret, copyright, or other proprietary right of any third-party;

• contains any type of unauthorized or unsolicited advertising; and

• impersonates any person or entity, including any employees or representatives of Sorigin.

We do not assume any liability for any User Generated Content posted by You or any other third-party users of the Website.

We have the right, at Our sole discretion, to remove, edit or block any User Generated Content that We feel in Our judgment does not comply with these Terms & Conditions, along with any other content that We feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any third-party rights, including copyrights or trademarks, or is in contravention of any law for the time being in force or of these Terms and Conditions, without giving any prior notice.

Further to this, it is informed that We may share the information pertaining to such instance (with or without demand) with any government agency, for the purpose of verification of identity of User, or for prevention, detection, investigation, prosecution and punishment. Therefore, it is advised that You should not involve in any such activities or use which violates any applicable law, rules, regulation or breach these Terms and Conditions.

Any material, information, or User Generated Content that is uploaded by You or is otherwise made available by You to Sorigin is and remains Your sole property or that of Your licensors. Upon uploading or making available of any material, information or content by You, on behalf of Yourself or Your licensor, You automatically grant Sorigin a perpetual, royalty free, non-exclusive right and license to use, reproduce, modify, publish, distribute, display, perform and transmit the information or content through Sorigin. You further warrant that all such materials do not infringe upon any copyright, violate any property rights or contain scandalous, libelous, or unlawful material.

Notwithstanding anything to the contrary contained above, You agree and acknowledge that You own or otherwise control all of the rights to the User Generated Content that You post or that You otherwise provide on or through the Website; and that, as at the date that the User Generated Content is posted or submitted on the Website:

• the User Generated Content is accurate;

• use of the User Generated Content does not breach these Terms and Conditions; and

• that such User Generated Content is lawful.

4. USER CONTACT

You authorize Sorigin to call, send SMS and email or to contact You by any other similar means on the contact information (made available by You on the Website either at the time making an inquiry, navigating through the Website or otherwise), to offer You information about the Services that You may be interested in. You authorize Us to call, SMS or email or contact You by way of any other similar means for the mentioned purpose.

We will also use Your contact details information to:

• send You information about the Services offered by Sorigin;

• contact You through SMS and email for reminder notices, service request processing for any Services You may want to opt for; or

• keep You updated on the Services offered by Us through Our newsletters.

In the event You do not wish to receive such information, You may unsubscribe through the facility in the communications You receive or by reaching out to Us for the same.

5. NO RESALE

You agree not to reproduce, duplicate, copy, sell, re-sell, or otherwise exploit any portion of the Website, including the use or access thereof, for any commercial purposes.

6. INTELLECTUAL PROPERTY RIGHTS

The Website and all content and materials available on the Website, including but not limited to text, graphics, website name, code, images, and logos, are either the intellectual property of Sorigin or under licensed use by Sorigin, and are protected. Any inappropriate use, including but not limited to the reproduction, distribution, display, or transmission of any content on this site, is strictly prohibited, unless specifically authorized.

Nothing in the Terms & Conditions is intended to, nor shall be construed to vest in, transfer or to otherwise convey to You any right, title or interest in the Website or any intellectual property associated therewith.

ALL RIGHTS NOT EXPRESSLY GRANTED HEREUNDER TO THE USER, ARE RESERVED EXCLUSIVELY TO SORIGIN.

7. CONFIDENTIALITY

Sorigin takes all reasonable precautions to preserve the confidentiality of the data and information provided by You and shall store and process all personal information in accordance with the Privacy Policy and other applicable laws and regulations.

We do not share Your confidential information with third parties except as required to provide the Services offered by Us, comply with legal obligations, or with Your explicit consent. By using this Website, You agree not to disclose any proprietary or confidential information obtained from it without prior written consent from Sorigin or as may be required to be disclosed under applicable laws.

8. DISCLAIMER OF WARRANTIES

By using the Website, You understand and agree that the content or information with respect to the Services offered by Us, published on the Website may include inaccuracies or errors and that We do not guarantee the accuracy of and disclaim all liability for any errors or inaccuracies thereto. All such information  is provided on an “as is” and “as available” basis. This means that We do not represent or warrant to You that:

• The use of the Website will meet Your needs or requirements.

• The use of the Website will be uninterrupted, timely, secure, and free from errors or viruses.

Sorigin has no liability in relation to or arising out of the Website, including the information and recommendations set out therein (if any). Sorigin disclaims any liability, financial or otherwise, whatsoever to any User on account of the use of information provided on the Website. The information contained is neither intended nor implied to be a substitute for professional advice.

The Website  is provided to You without any warranties or guarantees and, unless specifically stated otherwise, Sorigin accepts no liability to You whether in contract, tort (including negligence) or otherwise, arising out of it in connection with the Website.

You expressly understand and agree that, to the maximum extent permitted by applicable law, Sorigin will not be liable for any loss that You may incur as a consequence of unauthorized use of the Website, either with or without Your knowledge.

9. LIMITATION OF LIABILITY

You expressly understand and agree that in no event Sorigin, its affiliates, officers, directors, employees, consultants or agents shall be liable to You for any special, indirect, incidental, consequential, punitive or exemplary (including without limitation loss of business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever) arising out of or relating to these Terms & Conditions, or which may be incurred by You as a result of using the Website or the content contained therein, or Your use or inability to use the Website.

Notwithstanding anything to the contrary contained herein, in no event will Sorigin’s, its affiliates’, officers’, directors’, employees’, consultants’ or agents’ total liability to the User for all damages, liabilities, losses, costs, expenses, fines, penalties and causes of action arising out of or relating to (i) the Terms & Conditions, (ii) the Website, (iii) the user’s use or inability to use the Website, however caused and whether arising in contract, tort including negligence, warranty or otherwise, exceed in the aggregate, Rupees One Hundred (Rs. 100). The limitation of liability reflects the allocation of risk between the parties.

10. INDEMNITY

You agree to indemnify and hold Sorigin, its affiliates, officers, directors, employees or agents (“Indemnified Parties”) harmless from and against all claims and losses incurred or suffered by the Indemnified Parties, including for claims by a third party which refer to or arise out of, or related to content submitted by You, Your use of the Website, violation/breach of these Terms & Conditions, and Your violation of any law or the rights of a third party.

11. FORCE MAJEURE

Sorigin shall not be liable for any delay or failure to perform any of its obligations (including any delay or failure to provide access to the Website) under these Terms and Conditions, if such delay or failure arises due to the occurrence of any a Force Majeure (as defined below) event.

For the purpose of these Terms and Conditions, “Force Majeure” shall mean any event which is beyond the reasonable control of Sorigin, including without limitations, sabotage, fire, flood, explosion, acts of god, epidemics, pandemics, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, faults or failures in telecommunication, unavailability of any communication systems, breach, or virus in the processes or payment or delivery mechanism, computer hacking, computer crashes, malfunctioning in the computer terminal or the systems getting affected by any malicious code, unauthorized access to computer data and storage devices, destructive or corrupting code or program, mechanical or technical errors/failures or power outage, etc.

You understand and acknowledge that, upon the occurrence of such Force Majeure event, We will make reasonable efforts to restore access to our Website  as soon as possible, however, under any such circumstances, We shall not be held responsible for any resulting loss or inconvenience.

12. TERMINATION

You may terminate these Terms and Conditions, at any time, by discontinuing the use of the Website.

Sorigin reserves the right to discontinue the Website or to change the any information or content available on the Website, at any time and will provide notice of such discontinuation or change to You through posting changes to these Terms & Conditions.

If You breach any of the provision of these Terms & Conditions, Sorigin shall have the right to terminate Your access to and use of the Website,s immediately, without notice.

You acknowledge that, while Sorigin is not obligated to monitor Your use of the Website, it reserves the right to do so to ensure Your compliance with these Terms & Conditions, or to comply with applicable laws or the order or requirement of a court, administrative agency, or other governmental body. Sorigin reserves the right, at all times, to disclose, in its sole discretion, any User related information, when necessary, to comply with any applicable law, regulation, court orders, or governmental request.

13. MODIFICATION OF THE TERMS & CONDITIONS

Sorigin reserves the right to change or modify these Terms & Conditions, or any part thereof, at any time, by reason of change in the Services offered by it and/or to comply with any applicable laws and/or regulations. In the event that any material changes are made, We shall inform You by way of a notice displayed on the home page of Our Website for a period 30 (thirty) days from the date of such change.  If You choose to continue using the Website, You agree that by doing so, You will be deemed to accept the new terms and conditions, as may be amended from time to time.

14. INDEPENDENT RELATIONSHIP

Nothing in these Terms and Conditions shall constitute or be deemed to constitute a partnership, fiduciary relationship, employment or agency relationship between You and Sorigin, other than the rights and obligations expressly set out in these Terms and Conditions. Neither You, nor Sorigin shall make or hold itself out as having authority to make any commitments on behalf of the other.

15. GRIEVANCE REDRESSAL

Sorigin is committed to resolve any Grievance or Complaint (as defined below) raised by You, in a prompt and fair manner, in accordance with applicable laws and in the manner described below.

For the purposes of these Terms and Conditions, a “Grievance” or “Complaint” shall mean any written expression (including communications made through electronic means) of dissatisfaction submitted by a You or Your nominee or any other beneficiary (as applicable) with regard to the standard of the Services or due to any deficiency in the Services offered by Us. Provided however, it shall not include mere inquiries or service requests.

Grievance Redressal Mechanism:

• Submission of Grievance: In the event of any Grievance or Complaint, the User may submit such Grievance or Complaint in writing, clearly stating its nature and attaching any relevant supporting documents, to the designated Grievance Redressal Officer (“GRO”) appointed by Sorigin, at the contact details provided below:

• Acknowledgement and Resolution: Sorigin shall acknowledge the receipt of a Grievance or Complaint within 24 (twenty-four) hours of receiving such Grievance or Complaint. Based on the nature and type of the Grievance or Complaint and subject to applicable laws, shall take adequate steps for the redressal of such Grievances or Complaints of Users.

• Escalation: If the complainant is not satisfied with the resolution provided or if no resolution is provided within the prescribed timeframe as per applicable laws, the complainant may escalate the Grievance or Complaint to the IRDAI through any of the following channels:

16. GOVERNING LAW AND ARBITRATION

These Terms & Conditions shall be governed and construed in accordance with the laws of India, and subject to the arbitration provision below, the courts at Pune shall have exclusive jurisdiction over all matters and disputes arising out of and relating to these Terms and Conditions.

All disputes arising out of or in connection with these Terms & Conditions shall be referred to and finally be resolved by arbitration, in accordance with the Indian Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by the parties mutually. The venue of arbitration shall be Pune, and the proceedings shall be conducted in English. The arbitral award shall be final and binding on the parties.

17. SEVERABILITY

If any part of the Terms & Conditions is determined to be invalid or unenforceable pursuant to applicable law, including, then such unenforceable provision shall be deemed to be replaced with a suitable legal alternative provision that achieves the purpose of the original provision as closely as possible.

18. WAIVER

Any failure or delay by a party to enforce or exercise any provision of these Terms and Conditions, or any related right, shall not constitute a waiver by such party of that provision or right. Any waiver by a party shall only be made in writing and executed by a duly authorized representative of such party.

19. SURVIVAL

Notwithstanding any other provisions of this Terms & Conditions, or any general legal principles to the contrary, any provision of these Terms & Conditions that imposes or contemplates continuing obligations on a party will survive the expiration or termination of these Terms & Conditions.
